The Affiliate undertakes to place each of the Services on the System at the Frequency allocated for the respective Service in consideration of the Placement Fee being paid to it by PROXY. PROXY reserves the right to interchange the Services between the Frequencies allocated to them by amicably consulting with the Affiliate. The Affiliate shall not change (or interchange) the Frequency of any Service without the prior written consent of PROXY, except when required by applicable law or government rule, directive or regulation in relation thereto. Under all such circumstances the Affiliate shall immediately notify PROXY in writing and shall allocate an alternate Frequency(ies) / Band to the relevant Service that is agreeable to PROXY, so as to continue the uninterrupted placement of the Service on the System.

In the event Conditional Access System (CAS) is implemented in the Territory or any part thereof, PROXY shall have the option of terminating this Agreement for placement of channels with immediate effect from the date of such implementation of CAS or any date thereafter at its sole discretion and PROXY shall pay the Placement Fees to the Affiliate on a pro rata basis till date of such termination.

2. PLACEMENT FEE

PROXY shall pay the agreed Placement Fee to the Affiliate in accordance with Annexure 2 attached hereto, subject to PROXY receiving a valid invoice for such Placement Fee from the Affiliate, without any specific demand being raised by PROXY in respect thereof. The Placement Fee includes all applicable taxes and charges, except service tax (if any applicable).

Provided, however, that in the event the signals of the Service(s) are deactivated / disconnected to the Affiliate’s network, under the Affiliation Agreement, then PROXY shall not make the payment of the Placement Fees for the period corresponding to the period of such deactivation / disconnection of signals.

In the event Affiliate changes / shifts the frequency of any service from the agreed frequencies or stops carrying any of the Services on its network, , PROXY reserves the right to withhold the payment of the Placement Fee until such time the Service(s) are restored to the agreed Frequency / Band. PROXY further reserves the right to deduct the payment of Placement Fee in respect of the relevant period during which the Service(s) are not placed in the agreed Frequencies / Band. PROXY also reserves the right to deduct an amount of money from the payment schedule, as it shall deem fit and proper from the entire share that is being paid out to the Affiliate
