services.exe implements the Service Control Manager. It also hosts the Event Log and Plug and Play services, on Windows XP.

It could appear to be consuming a lot of CPU if a service or application is logging a lot of data to the event log, or if a service is frequently updating its running status - or crashing and having to be restarted a lot.
